Welcome to orchagent. These Terms of Service ("Terms") govern your use of the orchagent platform and services operated by ALL SURE LTD ("orchagent", "we", "us", or "our").

By accessing or using orchagent, you agree to be bound by these Terms. If you do not agree, you may not use our services.

We may update these Terms from time to time. For material changes, we will provide at least 30 days' notice via email or platform notification. Continued use after changes constitutes acceptance.

• "Service" means the orchagent platform, CLI, APIs, website, and related services
• "User" means any individual or entity that accesses or uses the Service
• "Author" means a User who creates and publishes agents or skills
• "Agent" means an AI-powered workflow published on the platform
• "Skill" means a reusable component or capability used by agents
• "BYOK" means "Bring Your Own Key" — our model where you provide your own LLM API keys
• "Workspace" means a shared environment for teams to collaborate
• "Run" means a single execution of an agent on our infrastructure
• "Usage Estimates" means any token counts, cost figures, spending summaries, or other usage data displayed on the platform, all of which are approximations derived from third-party sources
• "Budget Controls" means any spending limits, caps, or alerts that you may configure on the platform at the workspace, agent, or other level, which operate on a best-effort basis only

To use orchagent, you must:

• Be at least 13 years old
• Provide accurate and complete registration information
• Maintain only one account per individual
• Keep your account credentials secure
• Notify us immediately of any unauthorized access

Users between 13-17 years old must obtain verifiable parental consent before creating an account. We may request proof of parental consent at any time.

You are responsible for all activities that occur under your account. We reserve the right to suspend or terminate accounts that violate these Terms.

orchagent is a managed cloud platform for deploying and running AI agents. You publish your own agent code (Python or TypeScript) via CLI, and we handle the infrastructure. Key aspects of our service:

Platform Features

• Cloud Execution: Agents run in sandboxed environments on our managed infrastructure
• Always-On Services: Long-running agents (Discord bots, data pipelines, monitoring tools) hosted 24/7
• Scheduling: Cron jobs and webhooks for automated agent execution
• Secrets Vault: Secure storage for API keys and sensitive configuration
• Run History: Structured inputs, outputs, and logs for every agent execution
• Orchestration: Agents can call other agents in chains, with cost attribution
• Team Workspaces: Collaborative environments with roles and access control
• Web UI: Browser-based interface for running agents and viewing results

Usage Estimates & Budget Controls

Service Availability

We strive to maintain high availability but provide the Service "as is" without guarantees of uninterrupted access. We make no warranties regarding uptime, performance, or availability. The Service may be subject to maintenance, updates, outages, or disruptions at any time. Check our status page at status.orchagent.io for current service status.

orchagent offers various subscription tiers with different features and limits. Current plans and pricing are available at orchagent.io/plans.

• Free Tier: Available to all users with usage limits
• Paid Tiers: Monthly subscription with enhanced limits and features
• Billing Cycle: Subscriptions renew monthly on your billing date
• Price Changes: We will provide at least 30 days' notice for price increases
• Refunds: We offer refunds in accordance with applicable consumer protection laws

UK/EU Consumer Rights

If you are a UK or EU consumer, you have the right to:

• Cancel your subscription within 14 days for a full refund (Consumer Contracts Regulations 2013)
• Request refunds for services not performed with reasonable skill and care (Consumer Rights Act 2015)

To exercise these rights, contact refunds@orchagent.io with your account details and reason.

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.

Your Ownership

You retain ownership of all agents, skills, prompts, and other content you create on orchagent.

License to orchagent

Content Visibility

Agents and skills you publish are private to you and your workspace members by default. Visibility settings are controlled through your workspace and publishing configuration.

Representations & Warranties

By publishing content, you represent and warrant that:

• You own or have the necessary rights to publish the content
• Your content does not infringe any copyright, trademark, patent, trade secret, or other intellectual property rights
• Your content does not violate any applicable laws or regulations
• You have obtained all necessary licenses, permissions, and consents

orchagent respects intellectual property rights. If you believe content on our platform infringes your copyright, submit a DMCA takedown notice to:

Notice Requirements

Your DMCA notice must include:

• Identification of the copyrighted work claimed to be infringed (or representative list if multiple works)
• Identification of the infringing material (URL, agent ID, or specific location on platform)
• Your contact information (name, address, telephone number, email)
• Statement that you have a good faith belief that use of the material is unauthorized
• Statement that the information in the notice is accurate, under penalty of perjury
• Physical or electronic signature of the copyright owner or authorized agent

Our Response

Upon receipt of a valid DMCA notice, we will:

• Promptly remove or disable access to the allegedly infringing content
• Notify the user who posted the content
• Provide the user with a copy of the notice
• Inform the user of counter-notification procedures

Counter-Notification

If you believe content was removed in error or misidentification, you may submit a counter-notice including:

• Identification of the removed content and its prior location
• Statement under penalty of perjury that you have a good faith belief the material was removed by mistake
• Your name, address, telephone number, and email
• Consent to jurisdiction of UK courts or courts where you are located
• Physical or electronic signature

Repeat Infringer Policy

We will terminate accounts of users who are the subject of repeated valid DMCA notices. Three or more valid notices within a 12-month period may result in account termination.

Non-US Copyright Claims

For copyright claims outside the US, contact legal@orchagent.io with details of the alleged infringement. We will review and respond according to applicable laws.

Prohibited Activities

You agree NOT to use orchagent to:

• Create or distribute malware, viruses, or malicious code
• Generate, store, or transmit child sexual abuse material (CSAM)
• Facilitate illegal activities (drug trafficking, terrorism, human trafficking)
• Engage in fraud, phishing, or deceptive practices
• Harass, threaten, or harm others
• Violate intellectual property rights
• Share account credentials or API keys with unauthorized parties
• Attempt to bypass rate limits or access controls
• Scrape, crawl, or collect data without authorization
• Interfere with the Service or other users' access
• Impersonate others or misrepresent identity or affiliation
• Generate spam or bulk unsolicited communications

LLM Provider Compliance

You must comply with the terms of service and acceptable use policies of any LLM provider whose API keys you use with orchagent (OpenAI, Anthropic, Google, etc.).

Reporting Violations

To report violations of this policy, email report@orchagent.io with:

• Specific agent/skill ID or username
• Description of the violation
• Supporting evidence (screenshots, logs, URLs)

Investigation & Enforcement

Upon receiving a report, we will:

• Investigate within 5 business days
• Take action ranging from warnings to account termination
• Notify the reported user (except in cases involving law enforcement or CSAM)
• Preserve evidence for legal proceedings where required

Appeals

If your content is removed or account suspended, you may appeal by emailing appeals@orchagent.io within 14 days. Include:

• Your account details
• Content or action being appealed
• Explanation why action was inappropriate

We will respond within 14 business days.

Law Enforcement Cooperation

We cooperate with law enforcement investigating illegal activity. We may disclose user information in response to valid legal process (subpoenas, court orders, search warrants).

CSAM Reporting

We comply with national and international CSAM reporting requirements. Upon detection or report of CSAM, we will:

• Immediately remove content and suspend the account
• Report to National Crime Agency (UK) and National Center for Missing & Exploited Children (US)
• Preserve evidence for law enforcement
• Permanently ban the user from the platform

Security Research

If you discover a security vulnerability, please report it responsibly to security@orchagent.io. Do not exploit vulnerabilities or access data belonging to other users.

You may not use orchagent to:

• Export AI models, agents, or technology to sanctioned countries (Iran, North Korea, Syria, Cuba, Russia, Belarus, etc.)
• Provide services to individuals or entities on sanctions lists (OFAC, UN, EU, UK)
• Facilitate transactions that violate export control laws (EAR, ITAR, UK Export Control Act)

Platform Actions

We reserve the right to:

• Block access from sanctioned countries or entities
• Terminate accounts that violate export control laws
• Report violations to relevant authorities

Intermediary Service Provider

orchagent operates as an intermediary platform under the UK Electronic Commerce (EC Directive) Regulations 2002. We:

• Do NOT pre-screen or approve agents/skills before publication
• Do NOT edit or modify user-created content
• Do NOT test or validate agent functionality
• Act solely as a hosting provider and platform facilitator

Limited Liability

We are not liable for user-generated content unless we:

• Have actual knowledge of illegal content and fail to remove it promptly
• Become aware of facts indicating illegal content and fail to act expeditiously

Notice and Action

If you believe content on our platform is illegal or violates rights, send written notice to legal@orchagent.io including:

• Specific identification of content (agent ID, URL)
• Legal basis for removal
• Your contact information

We will investigate and take appropriate action within 5 business days.

Quality Disclaimers

Each subscription tier includes specific usage limits (agent runs, API calls, etc.). These limits are detailed on our pricing page.

• Hard Limits: When you reach your limit, requests will receive HTTP 429 responses
• Monthly Reset: Limits reset at the start of each calendar month (UTC)
• No Overage Charges: We do not charge for exceeding limits; requests are simply rejected

We reserve the right to throttle or suspend access for users who engage in abusive patterns that impact service quality for others.

We may deprecate APIs, features, or functionality over time. When we do:

• Users: Will receive at least 60 days' notice before deprecation takes effect
• Documentation: Deprecated features will be marked in our documentation
• Grace Period: A migration period will be provided where possible

No Responsibility for Agent Actions

No Guarantee of Usage Estimates or Budget Controls

USAGE ESTIMATES, TOKEN COUNTS, COST FIGURES, AND BUDGET CONTROLS DISPLAYED ON THE PLATFORM ARE PROVIDED FOR INFORMATIONAL PURPOSES ONLY AND ARE NOT GUARANTEED TO BE ACCURATE, COMPLETE, OR TIMELY. ORCHAGENT MAKES NO WARRANTY, EXPRESS OR IMPLIED, REGARDING THE ACCURACY, COMPLETENESS, OR TIMELINESS OF ANY USAGE DATA OR THE EFFECTIVENESS OF ANY BUDGET CONTROLS. THESE FEATURES RELY ENTIRELY ON DATA FROM THIRD-PARTY LLM PROVIDERS WHICH MAY BE DELAYED, INACCURATE, INCOMPLETE, OR SUBJECT TO CHANGE WITHOUT NOTICE. YOU ACKNOWLEDGE AND AGREE THAT YOU ASSUME ALL FINANCIAL RISK ASSOCIATED WITH LLM PROVIDER CHARGES INCURRED THROUGH THE PLATFORM AND THAT ORCHAGENT SHALL HAVE NO LIABILITY WHATSOEVER FOR ANY OVERSPEND, UNEXPECTED CHARGES, OR DISCREPANCIES BETWEEN DISPLAYED ESTIMATES AND ACTUAL PROVIDER CHARGES.

No Warranty

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION.

Nothing in these Terms excludes or limits liability for death, personal injury caused by negligence, fraud, or any liability that cannot be excluded under applicable law.

You agree to indemnify and hold harmless orchagent, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

• Your use of the Service
• Content you create or publish
• Your violation of these Terms
• Your violation of any third-party rights
• Your use of LLM provider services through orchagent
• Any discrepancy between usage estimates or budget controls displayed on orchagent and actual charges from LLM providers
• Financial losses, overspend, or unexpected charges from third-party LLM providers, whether or not budget controls were enabled
• Your violation of any applicable laws or regulations
• The functionality, performance, or outputs of agents you create
• Any damages caused by your agents to third parties
• Data protection violations (GDPR, UK GDPR, CCPA, etc.) caused by your agents

By You

You may terminate your account at any time through your account settings or by contacting us. Upon termination:

• Your access to the Service will end
• Your agents and skills will be removed
• Your data will be deleted per our Privacy Policy retention schedule

By Us

We may suspend or terminate your account if you violate these Terms or engage in conduct that harms the Service or other users. For material violations, we will attempt to provide notice before termination where practical.

Informal Resolution

Before initiating legal proceedings, we encourage you to contact us at legal@orchagent.io to resolve disputes informally.

Governing Law & Jurisdiction

• Governing Law: These Terms are governed by the laws of England and Wales
• Jurisdiction: The courts of England and Wales have exclusive jurisdiction
• Venue: Any legal proceedings shall be brought in London, United Kingdom

Arbitration (Optional)

For disputes not involving consumer contracts, either party may elect binding arbitration:

• Arbitration Body: London Court of International Arbitration (LCIA)
• Location: London, United Kingdom
• Language: English
• Arbitrator: Single arbitrator mutually agreed or appointed by LCIA
• Costs: Each party bears their own costs; arbitrator fees split equally

Arbitration does not apply to: (1) small claims court actions (claims under £10,000), (2) intellectual property disputes, or (3) claims seeking injunctive relief.

No Class Actions

You agree to bring claims individually, not as part of a class action, representative action, or collective proceeding (except where prohibited by law).

Exceptions

We may seek injunctive relief in court to prevent intellectual property infringement, disclosure of confidential information, enforcement of acceptable use policies, or to preserve evidence.

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and orchagent
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect
• No Waiver: Our failure to enforce any right does not waive that right
• Assignment: You may not assign these Terms without our consent; we may assign them in connection with a merger or acquisition
• Force Majeure: We are not liable for delays or failures due to causes beyond our reasonable control
